1. Non Commercial Use

Oasis Vacation Rental’s platform facilitates a transaction for timeshare owners and vacationers. The purpose of that transaction is to cover annual fees and other costs associated with our members’ timeshare ownership, that is otherwise for personal use, and only as needed. Oasis Vacation Rental members agree and acknowledge that usage of Oasis Vacation Rental’s platform and services are for “non-commercial use” and any income remitted is intended to offset, reimburse or fund maintenance fee payments and/or monthly loan payments related to my timeshare ownership.

Oasis Vacation Rental and its affiliates require owners to understand the rules and regulations set by their timeshare ownership which includes purchasing for personal use and enjoyment. If an account is deemed otherwise by either Oasis Vacation Rental or their respective timeshare company, the member must subsequently and immediately cease & desist any rental activity on Oasis Vacation Rental until further notice.

Additionally, Oasis Vacation Rental members are required to immediately alert us with any updates or changes to the status of their timeshare ownership account as a result of purported misuse. Failure to comply may result in permanent account suspension on Oasis Vacation Rental and/or monetary damages. This change in status could include, but is not limited to:

• Account suspension or foreclosure for non-payment
• Admonition or warning for violation of commercial use clause
• Account suspension for “commercial use”

2. Permitted Use; Prohibited Competitive Use

By accessing, contacting, engaging with, or receiving information from Oasis Vacation Rental, whether through the Oasis Vacation Rental Platform, sales calls, consultations, demonstrations, onboarding sessions, written communications, recordings, or any other interaction (collectively, “Shared Information”), you represent, warrant, and agree to the following:

2.1 Bona Fide Purpose

You are accessing Oasis Vacation Rental and its services solely as a prospective or actual customer evaluating Oasis Vacation Rental for your own lawful personal or business use. You are not accessing Oasis Vacation Rental on behalf of, or for the benefit of, any competitor, potential competitor, platform partner, supplier, Vacation Club, resort operator, or other third party with competitive, commercial, or strategic interests.

2.2 No Misrepresentation

You will not misrepresent or omit material information regarding your identity, role, affiliation, ownership interests, authority, or intent in order to obtain access to Shared Information. Any attempt to obtain information through false pretenses constitutes a material breach of these Terms.

2.3 Confidential and Restricted Use

All Shared Information is confidential and proprietary to Oasis Vacation Rental and is provided solely for the purpose of evaluating or using Oasis Vacation Rental’s services. You agree not to copy, record, summarize, analyze, benchmark, reverse engineer, reproduce, distribute, disclose, or otherwise use any Shared Information for any purpose other than evaluating or using Oasis Vacation Rental’s services as a bona fide customer.

2.4 Prohibited Competitive Use

You may not, directly or indirectly, use Shared Information to:

• develop, improve, operate, market, or advise any product or service that competes with Oasis Vacation Rental;
• inform pricing, distribution, marketing, operational, or strategic decisions of a competing business;
• share with or disclose to any competitor, Vacation Club, resort operator, platform partner, supplier, or other third party for competitive or commercial purposes.

2.5 No Reliance; No License

Except as expressly permitted in these Terms, nothing in this Agreement grants you any license or right to use Oasis Vacation Rental’s confidential, proprietary, or trade secret information. All rights not expressly granted are reserved by Oasis Vacation Rental.

2.6 Remedies and Enforcement

Any violation of this Section constitutes a material breach of these Terms and may result in immediate termination of access, suspension or termination of any account, and pursuit of all available remedies, including injunctive relief, damages, and equitable relief, without the requirement to post bond.

2.7 Survival

The obligations set forth in this Section survive the termination of any discussions, relationship, or use of the Oasis Vacation Rental Platform or services.

3. Scope of Oasis Vacation Rental Services

The Oasis Vacation Rental Platform is an online marketplace that enables registered users (“Members”) and certain third parties who offer services (Members and third parties who offer services are “Hosts” and the services they offer are “Host Services”) to publish such Host Services on the Oasis Vacation Rental Platform (“Listings”) and to transact directly with Members that are seeking to book such Host Services (Members using Host Services are “Guests”). Host Services may include the offering of vacation and other properties for use (“Accommodations”). These Accommodations are located within Resort properties (“Resorts”) that are managed and maintained by third parties including but not limited to Vacation Clubs or Timeshare Companies.

Hosts alone are responsible for their Listings, and are subject to Host Terms of service. When Members make or accept a Booking of a Listing (“Booking”), they are entering into a contract (“Booking Agreement”) directly with each other (See Sections 10 and 11). Oasis Vacation Rental is not a party to any contractual relationship between Members. Oasis Vacation Rental is not acting as an agent for any user, except as specified in issuing payments.

While Oasis Vacation Rental may help facilitate the resolution of disputes (See Section 26), Oasis Vacation Rental does not have control over the quality, suitability, or legality of any Listing. Oasis Vacation Rental does not endorse any Member or Listing. Any reference to a Member being “verified” only indicates that the Member has completed an identification process and nothing else. Such descriptions are not an endorsement, certification, or guarantee by Oasis Vacation Rental about any Member.

The Oasis Vacation Rental Platform may contain links to third-party resources, such third-party resources are subject to different terms of service and privacy policies. Oasis Vacation Rental is not responsible for the availability or accuracy of these third-party services.

Because of the nature of the internet, Oasis Vacation Rental cannot guarantee the continuous and uninterrupted availability of the Oasis Vacation Rental Platform. Oasis Vacation Rental reserves the right to restrict the availability of the Oasis Vacation Rental Platform or to conduct site maintenance that improves the functions of the Oasis Vacation Rental Platform. Oasis Vacation Rental may enhance or modify the Oasis Vacation Rental Platform periodically from time to time.

4. Eligibility, Using the Oasis Vacation Rental Platform, User Verification

To be eligible to use the Oasis Vacation Rental Platform you must be an individual at least 18 years of age. Member verification on the internet is complex, Oasis Vacation Rental does not assume responsibility for the confirmation of a Member’s identity. For transparency and fraud prevention purposes as permitted by applicable laws, Oasis Vacation Rental may, but have no obligation to (a) ask Members to provide a form of government identification or conduct additional checks to help verify identities or backgrounds of Members (b) screen Members on third party databases (c) obtain reports from public records of criminal convictions or sex offender registrations.

5. Modification of These Terms

Oasis Vacation Rental reserves the right to modify these Terms at any time. If Oasis Vacation Rental makes changes to these Terms, we will publish the revised Terms on the Oasis Vacation Rental Platform and update the “Last Updated” date at the top of these terms. We will also provide users a notice of the modifications by email at least (30) days before the date they become effective. If you do not terminate your Agreement before the date the revised Terms become effective, your continued use of the Oasis Vacation Rental Platform will constitute acceptance of the revised Terms.

6. Account Registration

You must register an account to access features of the Oasis Vacation Rental Platform, such as creating a Listing or booking a Listing.

You can register a Oasis Vacation Rental account using a verified email address and creating a password, or by using certain third-party social networking services, like Facebook (“SNS Account”). You have the ability to disable the connection between your Oasis Vacation Rental account and your SNS Account at any time.

You must provide accurate, current, and complete information during the registration process and maintain the correct up-to-date information of your Oasis Vacation Rental account at all times. You may not assign or otherwise transfer your Oasis Vacation Rental account to another party. You are responsible for maintaining the confidentiality and security of your Oasis Vacation Rental account credentials, you may not disclose your credentials to a third party. You must notify Oasis Vacation Rental if you know of or suspect that your credentials have been lost, stolen, or compromised.

SMS Communications: By enabling two-factor authentication (2FA) on your account, you consent to receive SMS one-time passcodes (OTPs) from Oasis Vacation Rental for identity verification purposes. Message frequency varies. Msg & data rates may apply.

7. Content

You will not use, copy, adapt, modify, license, transfer, or sell the Oasis Vacation Rental Platform and it’s collective content, except to the extent permitted in these Terms.

Subject to your compliance with these Terms, Oasis Vacation Rental grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable, license to access and view any collective content made available on or through the Oasis Vacation Rental platform and accessible to you, solely for your personal and non-commercial use.

8. Service Fees

Oasis Vacation Rental charges 0% commission fees to Hosts (“Host Fee”) and/or Guests (“Oasis Vacation Rental service fee”) (collectively, “Service Fees”) in consideration for the use of the Oasis Vacation Rental Platform. The introductory Host Fee is 0% of a booking. The Oasis Vacation Rental service fee is 0% which covers taxes, credit card processing and platform fees. Resort Fees (“Resort Fees”) may be collected at the Accommodation at check-in or check-out, which may include, but not limited to; amenities, incidentals, utility surcharges, security deposit, telephone use charges, service charges, personal charges, amenity usage, housekeeping, occupancy tax or applicable taxes. It is the responsibility of the Host to disclose any applicable Resort Fees that a Guest may be charged. These fees are determined and levied by the Accommodation and are the responsibility of the Guest to pay at the Accommodation.

If a rental booking is secured through Vrbo, KOALA, or another third-party platform, the Host will be responsible for that platform’s applicable commission or booking fee, which may range from 5% to 30% of the rental amount. OasiS Vacation Rental will notify the Host of the applicable fee and expected net payout before the Host accepts the booking. These third-party fees are separate from the Host’s annual OasiS membership fee.

Disclosed Resort Fees will not include “optional guest fees” or additional costs associated with onsite or offsite vehicle parking, restaurant, bar or other onsite food & beverage expenses, spa services, ski lift tickets, golf course passes or any other non-mandatory costs associated with the stay.

Any applicable Service Fees (including applicable Taxes) will be displayed to a Host or Guest prior to publishing or booking a Listing. Oasis Vacation Rental reserves the right to change the Service Fees at any time, and will provide members adequate notice of any fee changes before they become effective. Such fee changes will not affect any bookings made prior to the effective date of the fee change.

You are responsible for paying any Service Fees that you owe to Oasis Vacation Rental. The applicable Service Fees (including any applicable Taxes) are collected by Oasis Vacation Rental. Oasis Vacation Rental will deduct any Host Fees from the Listing Fee before remitting the payout to the Host. Any Guest Fees are included in the Total Fees collected by Oasis Vacation Rental. Except as otherwise provided on the Oasis Vacation Rental Platform, Service Fees are non-refundable.

9. Terms Specific For Hosts

Terms applicable to all listings

As a Host, you must be legally able to rent the Accommodation in your Listing during the designated time period indicated in the calendar availability. As a Host, you are responsible for maintaining a trusted marketplace by adhering to the following:

• Provide accurate information: You must provide complete and accurate information about your Listing (such as location, unit type, calendar availability, or Resort Fees incurred at the resort).
• Be responsive: Maintain a high response rate by replying to Booking requests within 24 hours.
• Accept Booking requests: Make Guests feel welcome by accepting requests whenever you’re available.
• Avoid cancellations: We take cancellations seriously and ask all hosts to avoid cancelling on Guests – their travel plans depend on it. Account suspension may result from a Host cancelling or declining a Booking from their Guest.
• Maintain a high overall rating: Guests like to know they can expect a consistent level of quality, no matter where they book.
• Update Guest Certificates accurately and as required by Oasis Vacation Rental. Please note: any related costs to Guest Certificate updates, spelling (or other) errors or additional guest certificate purchases as charged by your timeshare company are your sole responsibility.

You are responsible for keeping your Listing information (including calendar availability) up-to-date at all times. By uploading a Listing with a Reservation Number, you are providing consent to Oasis Vacation Rental to contact the Vacation Club or Timeshare Company where you have ownership to verify the accuracy of the Listing. Oasis Vacation Rental checks that the Reservation Name, Resort, Unit Type, and Calendar Availability match with the Reservation Number provided by the Host.

Unless otherwise explicitly indicated, you are solely responsible for all costs charged by your timeshare company required to list, rent and successfully check in a guest from a successful rental. This includes – but is not limited to – guest certificate updates, booking fees, reservation fees, cleaning fees, or fees related to rescuing or banking points as it relates to any booking, Hub fulfillment or any other use on the Oasis Vacation Rental platform.

You are solely responsible for setting a price (and disclosing any Resort Fees or Taxes if applicable, that a Guest may incur at the Accommodation) for your Listing (“Listing Fee”). Resort Fees are fees a Guest may incur upon check-in or check-out at the Accommodation, which may include; amenities, incidentals, utility surcharges, security deposit, telephone use charges, service charges, personal charges, amenity usage, housekeeping, occupancy tax or applicable taxes. These fees are determined and levied by the Accommodation and are the sole responsibility of the Guest.

Setting a list price implies that you are willing and able to accept that price for that stay. Attempting or requesting to alter, amend or increase the listing price in any way after a booking has been requested or confirmed is not allowed and not an acceptable reason to decline a booking.

When you accept a booking request by a Guest, you are entering into a legally binding agreement with the Guest and are required to provide your Accommodation to the Guest as described when the booking request is made, including updating a Guest Certificate (“Guest Certificate”). A Guest Certificate is the document that effectively transfers the Accommodation’s rights of use to the Guest.

Declining a booking request by a Guest will have a negative impact on your ability to Host on the Oasis Vacation Rental Platform. Oasis Vacation Rental will review, at its sole discretion, the circumstances for the decline and may lead to account suspension.

The placement and ranking of Listings in search results on the Oasis Vacation Rental Platform may vary and depend on a variety of factors, such as Guest search parameters and preferences, price and calendar availability, or reviews and ratings.

Any Host listing on the Oasis Vacation Rental platform gives Oasis Vacation Rental the right to use proprietary images and descriptions of the club or resort where the Host maintains a deeded interest of co-ownership for the express purpose of marketing the Host(s) listing(s). Oasis Vacation Rental is not affiliated with any timeshare company and only represents individual timeshare owners (Hosts).

How Do I Receive My Payout?

Oasis Vacation Rental sends payouts directly to your bank account – from the guest. Once your guest checks in, we initiate payment to the banking details you’ve entered in your Payout Settings. We begin processing your payout 48 hours after check-in. From there, it typically takes 3-5 business days for the funds to arrive, depending on your bank and our secure payment partner, Stripe.

New Host Payouts

If this is your first Oasis Vacation Rental payout through Stripe, there is a one-time waiting period of 7-14 days before funds are released. This is a standard industry safeguard required by Stripe for all new accounts, designed to protect both hosts and guests.

Disclaimer: Bank holidays, technical issues or other unforeseen events may cause minor delays in payout times.

When Will I See My Payout?

• Normal payout: released 48 hours after check-in, then another 3-5 business days for bank transfer.
• First-ever payout: 7-14 days after your first guest check-in, then all future payouts follow the normal schedule.

Host Cancellation Fees

Host cancellations can cause immense complications and reduce confidence in our marketplace. Host cancellations also seriously impact a guest’s vacation. It is imperative to maintain the status of your reservation and booking as “active” once you’ve confirmed it.

If you cancel a confirmed reservation, you will owe Oasis Vacation Rental the applicable Host Cancellation Fee set forth below, together with any administrative fees, reaccommodation costs, and other amounts payable to Oasis Vacation Rental under these Terms (collectively, “Amounts Owed”). Amounts Owed are due upon invoice and, where a payout is or becomes payable to you, may be deducted by Oasis Vacation Rental from any payout, credit, refund, or other sum otherwise payable to you by Oasis Vacation Rental or its affiliates under this Agreement or any other Oasis Vacation Rental program or membership, without further notice. Amounts Owed that remain unpaid thirty (30) days after the invoice date are delinquent and may accrue a late charge of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower. Oasis Vacation Rental may refer delinquent Amounts Owed to a third-party collection agency or attorney, and you agree to pay Oasis Vacation Rental’s reasonable costs of collection – including collection agency fees, reasonable attorneys’ fees, and court costs – to the extent permitted by applicable law. You consent to Oasis Vacation Rental and its authorized agents contacting you regarding Amounts Owed using the contact information associated with your account, including by email, telephone, and text message.

Notwithstanding Section 26, Oasis Vacation Rental is not required to engage in the informal dispute resolution or mediation process described therein before pursuing collection of undisputed Amounts Owed, and either party may bring an action for such amounts in small claims court. Your obligation to pay Amounts Owed survives the termination, suspension, or closure of your account and the termination or expiration of this Agreement.

Timeshare Exit or Cancellation

It is the host’s responsibility to alert Oasis Vacation Rental to any potential timeshare exit or contract cancellation as quickly as possible. Any host with affected bookings or check-ins as a result of a cancelled timeshare contract will be subject to Host Cancellation Fees.

Which Host Cancellations are affected by this change in policy? Any and all Host cancellations, whether accidental, purposeful or in conjunction with a rebook or timeshare exit will be subject to these fees. Host Cancellation Fees will be subtracted from your next payout, or will be invoiced to you for immediate payment.

Owner Responsibility and Terms of Use

It is the responsibility of owners to closely monitor their bookings in both their Oasis Vacation Rental Dashboard and the corresponding reservations in their club/timeshare account. Hosts cannot cancel a booking without authorization from Oasis Vacation Rental. In the event that Host cancels a booking, Host Cancellation Fees will be charged. Whether the cancellation occurs purposefully, accidentally or as a result of an attempt to rebook – the cancellation fees will be subtracted from the subsequent payout, or will be invoiced for payment immediately.

Standard Host Cancellation Fees apply per infraction. Additional infractions can escalate to fees up to 100% penalty (of payout) for continued misuse.

Listing Accommodations

Accommodations on Oasis Vacation Rental are located within a Resort (“Resort”) that is maintained by a third party, Vacation Club, or Timeshare Company where the Host has a share of ownership and transferable rights to allow a Guest to use the Accommodation.

You represent and warrant that any Listing you post and the booking of, or a Guest’s stay at, an Accommodations will not breach any agreements you have entered into with any third parties, such as your Home Resort, Vacation Club, Homeowners Association, or the like; and comply with all applicable laws, Tax requirements, and other applicable rules and regulations. As a Host, you are responsible for your own acts and omissions and the omissions of any individuals who are present at the Accommodations at your request or invitation, excluding the Guest and any individuals the Guests invited to the Accommodation.

Unless expressly allowed by Oasis Vacation Rental, you may not list more than one Accommodations per Listing.

Host acknowledges that Oasis Vacation Rental reserves the right to distribute any inventory listed on the platform through its travel partner affiliates at its own discretion provided that that distribution of selected and distributed inventory does not adversely affect the agreed upon commissions and payouts to Host.

For the avoidance of doubt the Host acknowledges that Oasis Vacation Rental is not responsible, under any circumstances, for the management, or ongoing management, of your listing(s). Further Oasis Vacation Rental does not guarantee your rental and is not responsible for any loss or damages that may come from any and all of the aforementioned statements.

Pricing Accommodations

Oasis Vacation Rental’s platform allows timeshare owners to list a timeshare rental accommodation unencumbered. A host is entitled to set their own price without intervention from 3rd party influence or rate parity restrictions. Oasis Vacation Rental and its associates do, however, reserve the right to manage, deactivate or delete any listing it deems to be priced in a way that compromises the integrity of the marketplace or devalues the platform experience for travelers. We recommend that all hosts read The Complete Guide To Pricing Your Timeshare Rental prior to listing. Pricing changes are always suggested and never required. The aforementioned does not apply to members enrolled in Oasis Vacation Rental Concierge.

Listing on Multiple Platforms

Unless otherwise expressly prohibited, Hosts retain the right to list the same accommodation(s) on third-party platforms in addition to Oasis Vacation Rental. Hosts are solely responsible for managing availability across all platforms and must promptly update, remove, or delist any Oasis Vacation Rental listing once a confirmed reservation is secured elsewhere.

Restrictions

Participation in developer or institutional rental programs that assume control of unit inventory may disqualify Hosts from listing on Oasis Vacation Rental. Hosts are required to disclose this to Oasis Vacation Rental. VIP Members, including those enrolled in Concierge or Supercharged programs, may be subject to additional restrictions on multi-platform listings.

10. Terms specific for Guests

Terms applicable to all bookings

When booking through Oasis Vacation Rental, Guests are NEVER required to attend a sales presentation as part of their stay. As a Guest, you have the right to decline any invitation to attend a timeshare presentation offered by the resort or 3rd party marketing company related to this stay. Oasis Vacation Rental and its affiliates will never ask you to attend a presentation. Guests should use caution when being offered incentives, discounts, or other offers in exchange for attending a timeshare presentation. Oasis Vacation Rental is not responsible for charges incurred as a result of not attending a presentation when agreed upon at the Guest’s discretion.

Subject to meeting any requirements (such as completing any verification processes) set by Oasis Vacation Rental and/or Host, you can book a Listing available on the Oasis Vacation Rental Platform by following the booking process. All applicable fees, including the Listing Fee, Guest Fee, Booking Fee, any applicable Taxes, and Resort Fees (collectively, “Total Fees”) will be presented to you prior to booking a Listing. You agree to pay the Total Fees for any booking requested in connection with your Oasis Vacation Rental account.

Upon receipt of a booking confirmation from Oasis Vacation Rental, a legally binding agreement is formed between you and your Host, including in particular the Oasis Vacation Rental Cancellation Policy and any rules and restrictions specified in the Listing and/or within these Terms. Oasis Vacation Rental will collect the applicable Total Fees at the time of the booking request or upon the Host’s confirmation pursuant to the payment terms.

Photo identification is required at check in along with major credit card and must match the name provided at the time of Booking. The Guest checking in must be the minimum age as dictated by the resort.

Booking Accommodations

You understand that a confirmed booking of an Accommodations (“Accommodation Booking”) is a limited license granted to you by the Host to enter, occupy, and use the Accommodations for the duration of your stay.

Please contact the Accommodation directly for assistance if you anticipate a late check in.

If a Guest requires check in assistance, please contact Oasis Vacation Rental immediately. Oasis Vacation Rental will not be responsible for any expenses incurred if a Guest does not contact Oasis Vacation Rental for assistance.

You agree to leave the Accommodation no later than the checkout time that is specified in the Listing. If you stay past the agreed upon checkout time (“Overstay”), you no longer have a license to stay in the Accommodation and the Resort is entitled to make you leave in a manner consistent with applicable law. In addition, you agree to pay, if requested by the Host or Resort, for each twenty-four (24) hour period (or any portion thereof) that you Overstay, plus all applicable Guest Fees, Taxes, Resort Fees and any legal expenses incurred by the Host or Resort to make you leave (collectively “Overstay Fees”). Overstay Fees for late checkouts on the checkout date that do not impact upcoming bookings may be limited to the additional costs incurred by the Host as a result of such an Overstay. If you Overstay an Accommodations, you authorize Oasis Vacation Rental to charge you to collect Overstay Fees.

The Guest cannot exceed the maximum occupancy indicated on the Listing. Failure to comply with the maximum occupancy may result in termination of the reservation without issuing a refund.

As a Guest, you acknowledge that pets are not permitted in certain Accommodations. Failure to follow this policy may lead to additional fees or cancellation of your booking without a refund.

When occupying the accommodation of the owner as a guest you are not authorized, under any circumstances, to charge any incurred expenses during your stay to the owners account. Such expenses, if any, are the sole responsibility of the guest to settle directly with the resort. Failure to do so will result in legal action taken against you and removal from Oasis Vacation Rental.

Verified & Protected

Oasis Vacation Rental verifies each listing to ensure the resort, dates, and unit type/category match the resort’s database before the listing goes live on the platform. Every booking is securely processed through our payment partner, Stripe, and funds are only released to the owner after you check in. This process ensures the unit is as described upon check-in and provides you with 100% payment protection and our Book with Confidence Guarantee.

Book with Confidence Guarantee

Oasis Vacation Rental guarantees that a booking is confirmed, and that the unit type and dates are accurate for each and every booking on Oasis Vacation Rental. Depending on the severity of the inaccuracy, there can be a partial or full refund issued to the guest. However, as Oasis Vacation Rental stays are within professionally managed resorts, exact units are assigned at check in. As such, some views and basic layouts can vary within those unit categories. We are unable to fully guarantee any unforeseen inconsistencies at the resort, including (but not limited to): resort amenity or food and beverage closures, resort disrepair or wear and tear, onsite staffing issues or incidents during your stay. Provided the correct unit is as assigned as advertised, no refund will be issued. If you have questions regarding the differences between similar units within each category, or any possible concerns about the resort itself please contact the resort guest services at your discretion.

11. Cancellations and Refunds, Customer Service, Booking Modifications

Hosts and Guests are responsible for any modifications to a booking that they make via the Oasis Vacation Rental Platform or direct Oasis Vacation Rental customer service to make (“Booking Modifications”), and agree to pay any additional Listing Fees, Host Fees, or Guest Fees, Resort Fees and/or Taxes associated with such Booking Modifications.

11(a) Guest Cancellations

(i) 24-Hour Cancellation Grace Period. Notwithstanding the Host’s selected cancellation policy set forth below, certain Bookings are eligible for a twenty-four (24) hour cancellation grace period. For eligible Bookings, a Guest may cancel within twenty-four (24) hours of the time the Booking is requested and receive a full refund. This grace period applies only to (A) Bookings for accommodations located in California, and (B) Bookings made through certain Oasis Vacation Rental partnership channels or third-party platforms where a twenty-four (24) hour cancellation grace period is required or offered. Direct Bookings made through the Oasis Vacation Rental Platform are not eligible for this 24-hour cancellation grace period unless otherwise expressly stated at the time of booking.

(ii) Effect of Guest Cancellation During Grace Period. Where a Booking is cancelled during the applicable 24-hour grace period, the Guest will receive a full refund, the Host shall not be entitled to any payout, compensation, or reimbursement in connection with that Booking, and any scheduled payout will be cancelled or reversed, as applicable.

(iii) Host Obligations Unaffected. For the avoidance of doubt, the 24-hour cancellation grace period is a right afforded solely to Guests and does not create any corresponding cancellation right for Hosts. Upon a Host’s acceptance of a Booking request, the Host is bound by these Terms and by the Host’s applicable cancellation policies and obligations, including any host cancellation fees set forth herein, regardless of whether the Booking remains within the Guest’s 24-hour grace period. Where a Guest cancels a Booking during the applicable grace period, such cancellation shall not constitute a cancellation by the Host, no host cancellation fee or penalty shall apply to the Host, and the applicable dates will be released and returned to the Host’s listing availability. A Guest’s eligibility for or exercise of the grace period shall not excuse, reduce, or otherwise modify any other Host obligation under these Terms.

(iv) Host Cancellation Policies. Except as expressly provided in Section 10(a)(i)-(iii), cancellations and refunds are governed by the cancellation policy selected by the Host for the applicable Listing, as follows:

A Guest cancelling a confirmed Booking outside the applicable refund window set forth above will not receive a refund. Listings provided on the Oasis Vacation Rental Platform are provided on a first come, first served basis. Oasis Vacation Rental highly recommends Guests purchase travel insurance to cover unforeseen circumstances that might prohibit their ability to utilize a Booking.

(v) Booking Modifications. It is the Guest’s responsibility to communicate the correct name of the Guest checking in while booking a Listing. Booking Modifications, including but not limited to Guest name changes after a Booking is confirmed, are handled on a case-by-case basis and are not guaranteed.

(vi) Guest Responsibility; Host Cancellation Policies Disclaimer. Guests are responsible for reading and understanding the cancellation policy applicable to a Listing prior to booking; it is the Guest’s sole responsibility to do so. Oasis Vacation Rental represents individual timeshare owners (Hosts) insofar as permitting Hosts to list their rental property on the Oasis Vacation Rental Platform. Hosts are solely responsible for setting their own cancellation policies, which are based on the Hosts’ exposure in relation to risk and financial loss. Oasis Vacation Rental is not responsible for, and disclaims all liability arising from or relating to, any Host’s cancellation policy.

(vii) No Post-Deadline Refunds. Once the applicable Host cancellation deadline has passed, Oasis Vacation Rental is not in a position to offer a refund, in full or in part, for any reason, including but not limited to natural disasters (hurricanes, earthquakes, floods, heat waves, landslides, heavy rain or thunderstorms, drought, or any other natural disaster not listed here), airline-induced flight issues or delays, COVID-19 (or variants thereof), and any issues related to the aforementioned. Possible exceptions relate only to full resort closures, not partial closures or closure of any particular amenities. PLEASE NOTE: Climate change has been linked to an increase in the frequency and severity of natural disaster events. As such, we strongly recommend purchasing travel insurance to protect you from any unforeseen circumstance that occurs outside the applicable cancellation period.

(viii) Cancellation Notifications to Hosts. Oasis Vacation Rental attempts to notify Hosts in the event of a cancellation via both SMS and email. Hosts are responsible for regularly checking their Oasis Vacation Rental Dashboard to ensure proper action is taken on reservations associated with cancelled Bookings, and should not rely solely on email and SMS notifications. Oasis Vacation Rental will not be responsible for any costs associated with a reservation not cancelled with the Host’s resort or Club.

(ix) Post-Deadline Re-Rental. In the event of a post-deadline cancellation where the Host was paid in full, Oasis Vacation Rental may attempt to re-rent that reservation to another guest when possible, provided that: (1) the Host approves the transaction; (2) the Host is compensated for any additional guest certificate or ancillary costs relating to the new guest; (3) the re-rental is permitted under the rules and regulations of the applicable club; and (4) the original Guest receives a full or partial refund if, and only if, the reservation is successfully re-rented.

11(b) Host Cancellations

If a Host cancels a confirmed booking, the Guest will receive a full refund of the Total Fees for such a booking. In some instances, Oasis Vacation Rental may allow the Guest to apply the refund to a new booking, in which case Oasis Vacation Rental will credit the amount against the Guest’s subsequent booking at the Guest’s direction. Further, Oasis Vacation Rental may keep the Listing unavailable or blocked for the dates of the cancelled booking, and/or impose a cancellation fee on the Host, suspend your Membership, unless the Host has a valid reason for cancelling as determined by Oasis Vacation Rental (which may include natural disasters, or other scenario that poses an immediate risk to the Guest’s safety).

Administrative Fees for Guest Check-in Issues

• Owner-related check-in issues which result in delays of 2+ hours: $99 administrative fee.
• Any issue related to guest certificates which result in failed or delayed check-ins may result in additional administrative fees of $99–$149. These include (but are not limited to): Misspelled primary guest name on guest certificate; Incorrect primary guest name (does not match with the name provided by team or host); No guest certificate (primary guest name not provided to or received at front desk).

Our goal is to provide owners an easy way to offset their timeshare fees and create a seamless check in and a delightful vacation experience for guests. Check-in issues can affect guests’ experience and disrupt or affect your payouts.

11(c) Declined Bookings

While being within an active marketplace Oasis Vacation Rental strives to always to present and ensure the highest of standards when verifying listings to guarantee that the listings are bookable and accurate prior to the posting of the listing. Managing your Oasis Vacation Rental account is important. It will be expected that all your active listing registered on the Oasis Vacation Rental platform are available for rent at the price indicated on the Oasis Vacation Rental platform and that said prices are maintained by you.

Therefore, Oasis Vacation Rental Hosts will be held liable and accountable for maintaining the integrity of said listings especially where that listing is or has become unavailable. The Oasis Vacation Rental Host must do this by removing the listing immediately.

When signing with Oasis Vacation Rental you are agreeing to these terms without reserve. If these terms are breached Oasis Vacation Rental will have the right to suspend, revoke or terminate your account. This will be at Oasis Vacation Rental’s discretion. Oasis Vacation Rental can charge a $50 non-refundable administration fee where a booking is declined to its respective Host.

Cancellation policy set by the Host — Guests can cancel a confirmed booking at any time pursuant to the Listing’s cancellation policy set by the Host (FLEXIBLE / RELAXED / MODERATE / FIRM / STRICT as described above). The Guest needs to ensure that they have acknowledged one of the above options if associated with the listing.

11(d) Oasis Vacation Rental Cancellations

In certain circumstances, Oasis Vacation Rental may decide, in its sole discretion, that it is necessary to cancel a pending or confirmed booking and initiate corresponding refunds and payouts. This may be for reasons related to natural disasters or other scenarios that pose an immediate risk to a person’s safety, where Oasis Vacation Rental believes in good faith, while taking the legitimate interests of both parties into account. This is necessary to avoid significant harm to Oasis Vacation Rental, other members, third parties or property, or for any reason set out in these Terms.

If Oasis Vacation Rental cancels a confirmed booking, and the Guest receives a refund after the Host has already been paid, Oasis Vacation Rental will be entitled to recover the amount of any such refund from the Host, including by subtracting such refund amount out from any future Pay-outs due to the Host.

12. Terms for VIP Membership

Subscription Membership Cancellation

1. Member may request to cancel at any time prior to the automatic annual renewal.
2. Member will receive VIP benefits for the remainder of their use year in the event of membership cancellation.
3. In the event of a cancellation, Member is still responsible for maintaining outstanding reservations associated with Oasis Vacation Rental bookings regardless of Membership status.
4. Multi-year memberships expire on the last date as set forth in agreement. There is auto-renewal.

13. Ratings and Reviews

Ratings and reviews from third-parties may be displayed for Accommodations, which may include reviews from Google or TripAdvisor. Star ratings (“Ratings”) or written reviews (“Reviews”) reflect the opinions of individuals and do not reflect the opinion of Oasis Vacation Rental. Ratings and Reviews are not verified by Oasis Vacation Rental for accuracy and may be incorrect or misleading.

Ratings and Reviews submitted by Guests and Hosts must be accurate and may not contain any offensive or defamatory language. Ratings and Reviews are subject to Section 5.

14. Damage to Accommodations, Disputes between Members

As a Guest, you are responsible for leaving the Accommodation (including any personal or other property located at the Accommodation) in the condition it was in when you arrived. You are responsible for your own acts and omissions and are also responsible for the acts and omissions of any individuals whom you invite to, or otherwise provide access to, the Accommodation.

If a Host and/or Resort claims and provides evidence that you as a Guest have damaged an Accommodation or any personal or other property at an Accommodation (“Damage Claim”), the Host and/or Resort can seek payment from you through Customer Service. If a Host escalates a Damage Claim to Oasis Vacation Rental, you will be given an opportunity to respond. If you agree to pay the Host and/or Resort, or Oasis Vacation Rental determines in its sole discretion that you are responsible for the Damage Claim, Oasis Vacation Rental will, after the end of your stay, collect any such sums from you required to cover the Damage Claim. Oasis Vacation Rental also reserves the right to otherwise collect payment from you and pursue any remedies available to Oasis Vacation Rental in this regard in situations in which you are responsible for a Damage Claim, including, but not limited to, in relation to any payment requests made by Hosts.

Members agree to cooperate with and assist Oasis Vacation Rental in good faith, and to provide Oasis Vacation Rental with such information and take such actions as may be reasonably requested by Oasis Vacation Rental, in connection with any Damage Claims or other complaints or claims made by Members relating to Accommodations or any personal or other property located at an Accommodation (including, without limitation, payment requests made). A Member shall, upon Oasis Vacation Rental’s reasonable request, participate in mediation or a similar resolution process with another Member, which process will be conducted by Oasis Vacation Rental or a third-party selected by Oasis Vacation Rental or its insurer, with respect to losses for which a Member is requesting payment from Oasis Vacation Rental.

If you are a Guest, you understand and agree that Oasis Vacation Rental may make a claim under your renter’s, traveler’s, or other insurance policy related to any damage or loss that you may have caused, or been responsible for, to any personal or other property (including Accommodation) of the Host. You agree to cooperate with and assist Oasis Vacation Rental in good faith, and to provide Oasis Vacation Rental with such information as may be reasonably requested by Oasis Vacation Rental, to make a claim under your renter’s, traveler’s, or other insurance policy, including, but not limited to, executing documents and take such further acts Oasis Vacation Rental may reasonably request to assist Oasis Vacation Rental in accomplishing the foregoing.

15. Rounding Off

Oasis Vacation Rental generally supports payment amounts that are payable from or to Guests or Hosts to the smallest unit supported by a given currency (i.e. U.S. cents, Euro cents, or other supported currencies). Where Oasis Vacation Rental’s third-party payment services provider does not support payments in the smaller unit supported by a given currency, Oasis Vacation Rental may, in its sole discretion, round up or round down the displayed amounts that are payable from or to Guests or Hosts to the nearest whole functional base unit in which the currency is denominated (i.e. to the nearest dollar, Euro, or other supported currency); for example, Oasis Vacation Rental may round up an amount of $101.50 to $102.00, and round down an amount of $101.49 to $101.00.

16. Taxes

(a) Property Owner Taxes: As Property Owner, you are responsible for determining and fulfilling your obligations under applicable laws to report, collect, remit, or include in your price any applicable VAT or other indirect taxes, occupancy taxes, tourist, income, or other taxes (“Taxes”). Oasis Vacation Rental shall not be liable or responsible for any such Taxes.

(b) Tax Information: In certain jurisdictions, applicable law may require that Oasis Vacation Rental collect and/or report Tax information about the Property Owner, or withhold Taxes from payouts to the Property Owner, or both. If the Property Owner shall fail to provide to Oasis Vacation Rental documentation that Oasis Vacation Rental determines to be sufficient to support any such obligation to withhold Taxes from payouts to the Property Owner, Oasis Vacation Rental may withhold payouts to the Property Owner up to the amount Oasis Vacation Rental determines is required by law, until sufficient documentation is provided. The Property Owner agrees that Oasis Vacation Rental may issue on the Property Owner’s behalf invoices or similar documentation for Taxes to facilitate accurate tax reporting by the Property Owner, your Guests, and/or their organizations.

17. Prohibited Activities

You are solely responsible for compliance with any and all laws, rules, regulations, and Tax obligations that may apply to your use of the Oasis Vacation Rental Platform. In connection with your use of the Oasis Vacation Rental platform, you will not and will not assist or enable others to:

• misrepresent identity, affiliation, ownership, authority, or intent, or otherwise obtain access to Oasis Vacation Rental or Shared Information in violation of Section 2 (Permitted Use; Prohibited Competitive Use);
• breach or circumvent any applicable laws or regulations, agreements with third-parties, third-party rights, or our Terms;
• use the Oasis Vacation Rental Platform or Collective Content for any commercial or other purposes that are not expressly permitted by these Terms or in a manner that falsely implies Oasis Vacation Rental endorsement, partnership, or otherwise misleads others as to your affiliation with Oasis Vacation Rental;
• copy, store, or otherwise access or use any information, including personally identifiable information about any other member, contained on the Oasis Vacation Rental Platform in any way that is inconsistent with Oasis Vacation Rental’s Privacy Policy or these Terms or that otherwise violates the privacy rights of Members or third parties;
• use the Oasis Vacation Rental Platform in connection with the distribution of unsolicited commercial messages (“Spam”);
• offer, as a Host, any Accommodation that you do not yourself own or have permission to make available through the Oasis Vacation Rental platform;
• unless Oasis Vacation Rental explicitly permits otherwise, book any Listing if you will not actually be using the Host services yourself;
• use the Oasis Vacation Rental Platform to request, make or accept a booking independent of the Oasis Vacation Rental Platform, to circumvent any Service Fees or for any other reason;
• request, accept or make any payment for Listing Fees outside of the Oasis Vacation Rental Platform. If you do so, you acknowledge and agree that you: would be in breach of these Terms; accept all risks and responsibility for such payment, and hold Oasis Vacation Rental harmless from any liability for such payment;
• discriminate against or harass anyone on the basis of race, national origin, religion, gender, gender identity, physical or mental disability, medical condition, marital status, age or sexual orientation, or otherwise engage in any violent, harmful, abusive, or disruptive behavior;
• use, display, mirror or frame the Oasis Vacation Rental Platform or Collective Content, or any individual element within the Oasis Vacation Rental Platform, Oasis Vacation Rental’s name, any Oasis Vacation Rental trademark, logo, or other proprietary information, or the layout and design of any page or form contained on a page in the Oasis Vacation Rental Platform, without Oasis Vacation Rental’s express written consent;
• dilute, tarnish or otherwise harm the Oasis Vacation Rental brand in any way, including through unauthorized use of Collective Content, registering and/or using Oasis Vacation Rental or derivative terms in domain names, trade names, trademarks or other source identifiers that closely imitate or are confusingly similar to Oasis Vacation Rental domains, trademarks, taglines, promotional campaigns, or Collective Content;
• use any robots, spider, crawler, scraper or other automated means or processes to access, collect data or other content from or otherwise interact with the Oasis Vacation Rental Platform for any purpose;
• avoid, bypass, remove, deactivate, impair, descramble, or otherwise attempt to circumvent any technological measure implemented by Oasis Vacation Rental or any of Oasis Vacation Rental’s providers or any other third-party to protect the Oasis Vacation Rental Platform;
• attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Oasis Vacation Rental Platform;
• take any action that damages or adversely affects, or could damage or adversely affect the performance or proper functioning of the Oasis Vacation Rental Platform;
• violate or infringe anyone else’s rights or otherwise cause harm to anyone.

You acknowledge that Oasis Vacation Rental has no obligation to monitor the access to or use of the Oasis Vacation Rental Platform by any Member, but has the right to do so to operate, secure and improve the Oasis Vacation Rental Platform (including without limitation for fraud prevention, risk assessment, investigation and customer support purposes); ensure Member’s compliance with these Terms; comply with applicable law or the order or requirement of a court, law enforcement or other administrative agency or government body; or otherwise set forth in these Terms. Members agree to cooperate with and assist Oasis Vacation Rental in good faith, and to provide Oasis Vacation Rental with such information and take such actions as may be reasonably requested by Oasis Vacation Rental with respect to any investigation undertaken by Oasis Vacation Rental or a representative of Oasis Vacation Rental regarding the use or abuse of the Oasis Vacation Rental Platform.

If you feel that any Member you interact with, whether online or in person, is acting or has acted inappropriately, including but not limited to anyone who engages in offensive, violent or sexually inappropriate behavior, you suspect of stealing from you, or engages in any other disturbing conduct, you should immediately report such a person to the appropriate authorities and then to Oasis Vacation Rental by contacting us with you police station report number (if available). You agree that any report you make will not obligate us to take any action (beyond that required by law, if any).

18. Term and Termination, Suspension and other Measures

This Agreement shall be effective for a 30-day term, at the end of which it will automatically and continuously renew for subsequent 30-day terms until such a time when you or Oasis Vacation Rental terminate the Agreement in accordance with this provision.

Without limiting our rights specified below, Oasis Vacation Rental may terminate this Agreement for convenience at any time by giving you thirty (30) days’ notice via email to your registered email address.

Oasis Vacation Rental may immediately, without notice, terminate this Agreement and/or stop providing access to the Oasis Vacation Rental Platform if you have materially breached your obligations under these Terms, the payments terms, our policies or standards, you have violated applicable laws, regulations or third party rights, or Oasis Vacation Rental believes in good faith that such action is reasonably necessary to protect the personal safety or property of Oasis Vacation Rental, its Members, or third parties (for example in the case of fraudulent behavior of a Member).

In addition, Oasis Vacation Rental may take any of the following measures to comply with applicable law, or the order or request of a court, law enforcement or other administrative agency or governmental body, or if you have breached these Terms, the payments terms, our policies or standards, applicable laws, regulations, or third party rights, you have provided inaccurate, fraudulent, outdated or incomplete information during the Oasis Vacation Rental Account registration, Listing process or thereafter, you and/or your Listings at any time fail to meet any applicable quality or eligibility criteria, or Oasis Vacation Rental otherwise becomes aware of or has received complaints about your performance or conduct, you have cancelled confirmed bookings, declined booking requests, failed to respond to booking requests, or Oasis Vacation Rental believes in good faith that such action is reasonably necessary to protect the personal safety or property of Oasis Vacation Rental, its Members, or third parties, or to prevent fraud or other illegal activity:

• refuse to surface, delete or delay any Listings, Ratings, Reviews, or other Content;
• cancel any pending or confirmed bookings;
• limit your access to or use of the Oasis Vacation Rental Platform;
• temporarily or permanently revoke any special status associated with your Oasis Vacation Rental Account;
• temporarily or permanently suspend your Oasis Vacation Rental Account and stop providing access to the Oasis Vacation Rental Platform.

In the case of non-material breaches and where appropriate, you will be given notice of any intended measure by Oasis Vacation Rental and an opportunity to resolve the issue to Oasis Vacation Rental’s reasonable satisfaction.

If we take any of the measures described above we may refund your Guests in full for any and all confirmed bookings that have been cancelled, irrespective of preexisting cancellation policies, and you will not be entitled to any compensation for pending or confirmed bookings that were cancelled.

When this Agreement has been terminated, you are not entitled to a restoration of your Oasis Vacation Rental Account. If your access to or use of the Oasis Vacation Rental Platform has been limited or your Oasis Vacation Rental Account has been suspended or this Agreement has been terminated by us, you may not register a new Oasis Vacation Rental Account or access and use the Oasis Vacation Rental Platform through a Oasis Vacation Rental Account of another Member.

Sections 2, 5, 9 (with respect to payment obligations and Amounts Owed), 16 to 22, 24, and 26 of these Terms shall survive any termination or expiration of this Agreement.

19. Disclaimers

Oasis Vacation Rental is an independent third-party marketplace that represents individual timeshare owners and securely connects them with travelers. Oasis Vacation Rental is not affiliated with, endorsed by, sponsored by, or acting on behalf of any timeshare developer, resort, vacation club, management company, or their respective affiliates. All trademarks, trade names, and logos are the property of their respective owners and are used solely to identify the ownership interests offered by independent owners.

If you choose to use the Oasis Vacation Rental Platform or Collective Content, you do so voluntarily and at your sole risk. The Oasis Vacation Rental Platform and Collective Content is provided “as is,” without warranty of any kind, either express or implied.

As a Guest, you have the right to decline any offer or invitation to attend a timeshare presentation. Guests are never required to attend a presentation as a stipulation of their stay. Guests must use caution when being offered incentives, discounts, or other offers in exchange for attending a timeshare presentation. Oasis Vacation Rental is not responsible for charges incurred as a result of not attending a presentation when agreed upon at the Guest’s discretion.

Accommodations will be available for check-in on or around the time indicated by the resort and may be subject to delay.

Accommodation amenities may change and are determined by each Resort. A copy of the Accommodation’s amenities may be acquired upon check in at the Accommodation.

Accommodation images, (including but not limited to floor plans or interior furniture) are representative of the Accommodation and may vary between individual units.

The Accommodation will assign a specific unit on the property. Unit views, floor, amenities, and location on the Accommodation property is not guaranteed.

You agree that you have had whatever opportunity you deem necessary to investigate the Oasis Vacation Rental Services, laws, rules, or regulations that may be applicable to your Listings and/or Host Services you are receiving and that you are not relying upon any statement of law or fact made by Oasis Vacation Rental relating to a Listing.

If we choose to conduct identity verification or background checks on any Member, to the extent permitted by applicable law, we disclaim warranties of any kind, either express or implied, that such checks will identify prior misconduct by a Member or guarantee that a Member will not engage in misconduct in the future. If you are bringing a minor as an additional guest, you are solely responsible for the supervision of that minor throughout the duration of your stay and to the maximum extent permitted by law, you agree to release and hold harmless Oasis Vacation Rental from all liabilities and claims that arise in any way from any injury, death, loss or harm that occurs to that minor during your stay.

The foregoing disclaimers apply to the maximum extent permitted by law. You may have other statutory rights. However, the duration of statutorily required warranties, if any, shall be limited to the maximum extent permitted by law.

20. Liability

You acknowledge and agree that, to the maximum extent permitted by law (See Section 22), the entire risk arising out of your access to and use of the Oasis Vacation Rental Platform and Collective Content, your publishing or booking of any Listing via the Oasis Vacation Rental Platform, your stay at any Accommodation, or any other interaction you have with other Members whether in person or online remains with you. Neither Oasis Vacation Rental nor any other party involved in creating, producing, or delivering the Oasis Vacation Rental Platform or Collective Content will be liable for any incidental, special, exemplary or consequential damages, including lost profits, loss of data or loss of goodwill, service interruption, computer damage or system failure or the cost of substitute products or services, or for any damages for personal or bodily injury or emotional distress arising out of or in connection with these Terms, from the use of or inability to use the Oasis Vacation Rental Platform or Collective Content, from any communications, interactions or meetings with other Members or other persons with whom you communicate, interact or meet with as a result of your use of the Oasis Vacation Rental Platform, or from your publishing or booking of a Listing, whether based on warranty, contract, tort (including negligence), product liability or any other legal theory, and whether or not Oasis Vacation Rental has been informed of the possibility of such damage, even if a limited remedy set forth herein is found to have failed of its essential purpose. Except for our obligations to pay amounts to applicable Hosts pursuant to these Terms, in no event will Oasis Vacation Rental’s aggregate liability arising out of or in connection with these Terms and your use of the Oasis Vacation Rental Platform including, but not limited to, from your publishing or booking of any Listings via the Oasis Vacation Rental Platform, or from the use of or inability to use the Oasis Vacation Rental Platform or Collective Content and in connection with any Accommodation, or interactions with any other Members, exceed the amounts you have paid or owe for bookings via the Oasis Vacation Rental Platform as a Guest in the twelve (12) month period prior to the event giving rise to the liability, or if you are a Host, the amounts paid by Oasis Vacation Rental to you in the twelve (12) month period prior to the event giving rise to the liability, or one hundred U.S. dollars (US$100), if no such payments have been made, as applicable. The limitations of damages set forth above are fundamental elements of the basis of the bargain between Oasis Vacation Rental and you. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. If you reside outside of the U.S., this does not affect Oasis Vacation Rental’s liability for death or personal injury arising from its negligence, nor for fraudulent misrepresentation, misrepresentation as to a fundamental matter or any other liability which cannot be excluded or limited under applicable law (See Section 22).

21. Indemnification

To the maximum extent permitted by applicable law, you agree to release, defend (at Oasis Vacation Rental’s option), indemnify, and hold Oasis Vacation Rental and its affiliates and subsidiaries, including but not limited to, Oasis Vacation Rental’s officers, directors, employees and agents, harmless from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your breach of these Terms or our policies or standards, your improper use of the Oasis Vacation Rental Platform, your interaction with any Member, stay at an Accommodation, including without limitation any injuries, losses or damages (whether compensatory, direct, incidental, consequential or otherwise) of any kind arising in connection with or as a result of such interaction, stay, participation or use, or your breach of any laws, regulations or third party rights.

21(a) Indemnification (cancellations)

The Host shall indemnify Oasis Vacation Rental against all liabilities, costs, expenses, damages, and losses (including but not limited to any direct, indirect, or consequential losses, loss of profit, loss of reputation, and all interest, penalties, legal costs, and other reasonable professional costs and expenses) suffered or incurred by Oasis Vacation Rental arising out of or in connection with the Host cancelling a reservation. The Host is bound by each booking upon acceptance, and a Host cancellation constitutes a breach of this Agreement. All costs incurred by Oasis Vacation Rental as a result of a Host cancellation will be charged to the Host, and penalties will be applied in accordance with the Host Cancellation Fee schedule in Section 9.

All cost(s) incurred by Oasis Vacation Rental, due to the Host cancelling will be forwarded onto the Host. Host cancelling is considered a breach of contract. Penalties will be applied in accordance with the above clause.

22. Feedback

We welcome and encourage you to provide feedback, comments and suggestions for improvements to the Oasis Vacation Rental Platform (“Feedback”). You may submit Feedback by emailing us, through the “Contact” section of the Oasis Vacation Rental Platform, or by other means of communication. Any Feedback you submit to us will be considered non-confidential and non-proprietary to you. By submitting Feedback to us, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sub-licensable, perpetual license to use and publish those ideas and materials for any purpose, without compensation to you.

23. Messaging

Peer-to-peer messaging (or Direct Messaging) allows our guests and hosts to connect directly for a more streamlined experience and to provide useful information prior to, or after a booking has occurred.

Community — Oasis Vacation Rental is a safe community of timeshare owners and vacationers. Vacationers/Guests and Hosts are expected to conduct themselves within these messaging channels appropriately. Any abusive messaging, misconduct, trolling, bullying or any other form or threatening or aggressive text will result in an immediate account suspension and/or permanent account termination.

Sharing of Personal Information

Oasis Vacation Rental is a secure marketplace. All communication between owners and guests must be maintained within the platform’s direct messaging feature. As such, sharing of personal details – such as email, phone number, or other forms of direct contact information – is strictly prohibited.

Off-Platform Transactions

Messaging channels are monitored and flagged for misuse. For the safety and security of our members, it is strictly prohibited to attempt to transact with community members outside the Oasis Vacation Rental platform. Those who do, will do so at their own risk. Flagged attempts to circumvent marketplace may result in temporary or permanent account suspension.

Disclaimer — Oasis Vacation Rental [Oasis Vacation Rental Corporation] is not responsible for any damages – financial or otherwise – resulting from unregulated member activity outside of the Oasis Vacation Rental platform. If any party attempts to persuade you to transact off platform, let us know.

24. General Provisions

Except as they may be supplemented by additional terms of service, policies, guidelines or standards, these Terms constitute the entire Agreement between Oasis Vacation Rental and you pertaining to the subject matter hereof, and supersedes any and all prior oral or written understandings or agreements between Oasis Vacation Rental and you in relation to the access to and use of the Oasis Vacation Rental Platform.

No joint venture, partnership, employment, or agency relationship exists between you and Oasis Vacation Rental as a result of this Agreement or your use of the Oasis Vacation Rental Platform.

These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties.

If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and will not affect the validity and enforceability of the remaining provisions.

Oasis Vacation Rental’s failure to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.

You may not assign, transfer or delegate this Agreement and your rights and obligations hereunder without Oasis Vacation Rental’s prior written consent. Oasis Vacation Rental may without restriction assign, transfer or delegate this Agreement and any rights and obligations hereunder, at its sole discretion, with 30 days prior notice. Your right to terminate this Agreement at any time remains unaffected.

Unless specified otherwise, any notices or other communications to Members permitted or required under this Agreement, will be provided electronically and given by Oasis Vacation Rental via email, Oasis Vacation Rental Platform notification, or messaging service (including SMS and WeChat). If your booking is in respect of a Listing in Japan, you agree and acknowledge that such notifications via electronic means in lieu of a written statement, satisfies Oasis Vacation Rental’s obligations under Article 59 Paragraph 1 of the Japanese Housing Accommodation Business Act.

25. Third Parties and Links to Third Party Sites

The Oasis Vacation Rental Platform may contain links and pointers to other Internet sites and resources. Links to and from the site to other third-party sites, maintained by third parties, do not constitute an endorsement by us of any third parties or their sites. We may also provide tools to allow interaction between the site and a third party site, such as social media sites. We are not responsible in any way for such third-party sites or resources and your use of such sites and resources will not be governed by these Terms.

26. Governing Law and Dispute Resolution

You agree that all matters relating to your access or use of our services, inclusive of all disputes will be governed by the laws of the United States of America and by the laws of the State of New York without regard to its conflicts of law provisions. You agree to the personal jurisdiction and venue in the state and federal courts in New York State, New York, and waive any objection to such jurisdiction or venue. In the event of any controversy or dispute between any party arising out of or in connection with the use of our services, the parties shall attempt, promptly and in good faith, to resolve any such dispute. If we are unable to resolve any such dispute within a reasonable time (Not to exceed (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

By using our services you agree that the Federal Arbitration Act, applicable federal law and the laws of the State of New York, without regard to principles of conflict of laws, will govern these terms and any dispute of any sort that may arise.

27. Terms Related to Promotions and Promo Codes

Eligibility Requirements: you must be a Member of Oasis Vacation Rental to participate in promotions or use “Promo Codes”.

For each Listing that has been Booked, the Guest checking in to a Resort must meet the minimum age for the Resort that they are checking into or they will not be permitted to check in.

If you are not a Member of Oasis Vacation Rental you will not be permitted to use any Promo Codes issued by Oasis Vacation Rental. Promo Codes are exclusive to Oasis Vacation Rental Members.

If you are a Member of Oasis Vacation Rental you will be permitted to use Promo Codes, but each Promo Code can only be used once. Promo Codes cannot be used multiple times by Members.

Not all Promo Codes apply to all Members. Each Promo Code is unique to each member(s).

Every Promo Code issued by Oasis Vacation Rental has an expiration date set against it. Once that date is executed the Promo Code becomes invalid.

Each Promo Code issued is only made available to one or more Members (determined by Oasis Vacation Rental). Once the Promo Code has been used, the Promo CXode becomes invalid.
